If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you create a business on our Platform, you are a "Business Owner" and agree to additional responsibilities:
As a Business Owner, you have access to member information (such as profiles, activity, and purchase history) within your business dashboard. You agree to handle this information responsibly and in accordance with applicable privacy laws.

Your Content: You retain ownership of content you create on the Platform. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content solely to operate and improve our services.
Platform Content: All Platform features, design, code, and documentation are owned by onefactor and protected by intellectual property laws. You may not copy, modify, or distribute our Platform without permission.
You agree not to use our Platform to:
We reserve the right to review, remove, or disable access to any content that violates these Terms or is otherwise objectionable. We may suspend or terminate accounts that repeatedly violate our policies. We are not obligated to monitor all content but may do so at our discretion.
Our Platform integrates with third-party services (e.g., Stripe, OAuth providers). Your use of these services is subject to their respective terms. We are not responsible for third-party services and do not endorse their content or practices.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEFACTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR (B) $100 USD.
You agree to indemnify and hold harmless onefactor and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your content, or your violation of these Terms.
We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination:
You may terminate your account at any time through your account settings or by contacting us.
Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to participate in class action lawsuits or class-wide arbitration.
Opt-Out: You may opt out of the arbitration agreement by sending written notice to support@onefactor.ai within 30 days of first accepting these Terms. The notice must include your name, email address, and a clear statement that you decline the arbitration agreement.
Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Platform. Small claims court actions are also permitted.
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on our Platform or sending you an email. Your continued use of the Platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and onefactor regarding the Platform and supersede any prior agreements.
